These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "User", "you") and EcomLinx Technology Pvt. Ltd. and its affiliates ("EcomLinx", "we", "us", "our").
By registering for an account, using our SaaS platform, or engaging our managed services, you confirm that you have read, understood and agree to these Terms. If you do not agree, you must not use our services.
If you are using our services on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.
EcomLinx provides two categories of services:
Professional services including marketplace account management, product listing, PPC advertising, design and creative services, multichannel integration, SEO and digital marketing. Scope, timelines and deliverables are defined in individual Service Agreements or Statements of Work (SOW).
The EcomLinx SaaS platform provides a unified dashboard for multichannel ecommerce management, including inventory tracking, order management, P&L reporting and AI-powered insights. Access is subscription-based per the pricing at ecomlinx.com/pricing.
Subject to payment of applicable fees and compliance with these Terms, EcomLinx grants you a limited, non-exclusive, non-transferable licence to access and use the SaaS platform for your internal business purposes.
We may offer a 14-day free trial. At the end of the trial, your account will require a paid subscription to continue. We reserve the right to modify or discontinue free trials at any time.
By connecting your marketplace accounts (Amazon, Flipkart, etc.) to our platform, you authorise EcomLinx to access, read and where instructed write data on your behalf through official APIs. We will only access data necessary to provide the services. You remain responsible for compliance with each marketplace's terms and policies.
We aim for 99.5% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible. We are not liable for downtime caused by third-party services (marketplace APIs, payment processors, etc.).
Managed services are governed by these Terms together with a separate Service Agreement or SOW which specifies scope, deliverables, timeline and fees. In the event of conflict, the Service Agreement takes precedence.
You agree to provide timely access to marketplace accounts, product information, brand assets and any other materials required for us to deliver services. Delays caused by late or incomplete client materials may affect delivery timelines without liability to EcomLinx.
You remain solely responsible for compliance with the policies and terms of each marketplace platform. EcomLinx will follow your instructions and industry best practices, but will not carry out actions that violate marketplace policies.
All software, designs, algorithms, documentation and content comprising the EcomLinx platform are owned by or licensed to EcomLinx and protected by intellectual property laws. You may not copy, modify, reverse-engineer or create derivative works from our platform.
You retain ownership of your brand assets, product content and business data. Upon full payment, EcomLinx assigns to you all rights in deliverables created for you (listings, A+ content, store designs, etc.) unless otherwise stated in the Service Agreement.
Any feedback, suggestions or ideas you provide about our services may be used by EcomLinx without restriction or compensation.
You retain ownership of all data you input into or generate through the EcomLinx platform. We process this data on your behalf in accordance with our Privacy Policy and, for business clients, any Data Processing Agreement (DPA) in place.
We will not access, use or share your business data except as necessary to provide the services, as required by law, or with your consent.
You agree not to use our services to:
EcomLinx shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data or goodwill, even if advised of the possibility of such damages.
We are not liable for actions taken by marketplace platforms (account suspensions, listing removals, policy changes) or outcomes of services that are outside our reasonable control.
You may cancel your SaaS subscription at any time via your account settings. Managed services may be terminated per the notice period in your Service Agreement (typically 30 days written notice).
We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees when due, or if required by law. We may terminate any service with 30 days' notice without cause.
Upon termination, your access to the SaaS platform will cease. We will provide a data export for 30 days post-termination upon request. Any outstanding fees remain payable.
These Terms are governed by and construed in accordance with the laws of India. For clients in the United Kingdom, the UK GDPR and relevant UK consumer law provisions apply.
Any disputes shall first be referred to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Bhubaneswar, India, or such other forum as mutually agreed.
Notwithstanding the above, EcomLinx may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property.
